The Board of Directors of Aena, at its meeting of 27 February 2023, agreed to elect two vice-chairmen of the Board of Directors and to adapt the corporate structure of the company to the challenges of its Strategic Plan (2022-2026). To this end, it has taken the following decisions:
- Javier Marín, until now general manager of Airports and executive director, has been appointed executive vice-chairman. He will report to the Chairman and CEO, Maurici Lucena, who retains full executive functions.
Marín will be responsible for the following areas: the two General Managements of the company, the General Management of Airports and the General Management of Commercial and Real Estate; and the Management of Innovation, Sustainability and Customer Experience.
"This decision responds to Aena’s growth and the growing complexity of managing these areas and the need to foster greater synergies between them," explained Maurici Lucena, Chairman and CEO .
Marín has also been elected Second Vice-Chairman of the Board of Directors.
- Jaime Terceiro, current independent director and coordinator of the Board of Directors, has been elected first vice-chairman (non-executive) of the Board. His role shall include substituting the Chairman in the event he is delegated to do so, in his absence or illness and, in general, functions or attributions that, where appropriate, are considered opportune by the Board of Directors or the Chairman.
This election among the independent directors and, in particular, that of the coordinating director, will reinforce the proper functioning of the Board, strengthen transparency and is particularly aligned with the recommendations of the CNMV's Code of Good Governance.
- Elena Mayoral, until now Director of Airport Planning and Regulatory Control, will be the new head of the General Management of Airports.
"Fulfilling the demanding roadmap set out in the Strategic Plan requires, as a preliminary step, adapting our organisation to the vibrant context of transformation, modernisation and expansion in which our activity is currently immersed", underlined Lucena, who recalled that these modifications are part of a general process of reinforcement of resources that will be deployed throughout the Plan.
The Executive Management Committee of Aena will be composed of six women and four men.
